These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”)
and Without a Word, LLC (“Without a Word,” “Company,” “we,” “us,” or “our”) governing your access to and use of
the Without a Word application, website, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms,
you may not access or use the Service.
1. Eligibility
You must be at least thirteen (13) years of age to use the Service. By using the Service, you represent and warrant
that you meet this eligibility requirement. If you are under eighteen (18) years of age, you represent that you
have obtained consent from a parent or legal guardian.
2. Account Registration and Security
2.1 Account Creation
To access certain features of the Service, you must register for an account and provide accurate, current,
and complete information. You agree to keep your account information up to date at all times.
2.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities
that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
3. User Content
3.1 Ownership
You retain all ownership rights in content you submit, upload, or otherwise make available through the Service
(“User Content”). The Service may allow you to import content from third-party sources, including recipes.
3.2 License Grant
By submitting User Content, you grant Without a Word a non-exclusive, worldwide, royalty-free, sublicensable,
and transferable license to host, store, process, display, and use such User Content solely as necessary to
operate, maintain, and provide the Service to you.
3.3 User Representations
You represent and warrant that:
- You own or have all necessary rights to submit the User Content
- The User Content does not infringe or violate any third-party rights
- The User Content complies with all applicable laws and regulations
3.4 Recipe Imports and Third-Party Content
Recipes and other content imported from third-party websites remain the intellectual property of their respective
owners. You acknowledge that imported content is provided for personal, non-commercial use only and that Without
a Word does not verify the accuracy, completeness, or legality of such content.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful or unauthorized purpose
- Share or transfer your account to any other person
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the integrity or performance of the Service
- Introduce malicious software, code, or data
- Scrape, harvest, or collect data from the Service without permission
- Use the Service for commercial purposes without written authorization
5. Service Availability and Modifications
The Service is provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation.
We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time without notice.
6. Third-Party Services
The Service may integrate with or link to third-party services, including authentication providers, data storage
services, artificial intelligence tools, and public food databases. Your use of such third-party services is
governed by their respective terms, and we disclaim all responsibility for third-party content or services.
7. Intellectual Property
All intellectual property rights in and to the Service, excluding User Content, are owned by Without a Word, LLC.
You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
8. Nutrition and Health Disclaimer
The Service may provide recipe, ingredient, or nutritional information for informational purposes only.
Such information is not medical or dietary advice. You are solely responsible for verifying nutritional data
and consulting a qualified healthcare professional regarding dietary decisions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WITHOUT A WORD, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR USE, ARISING OUT OF OR RELATED
TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE SERVICE DURING THE TWELVE (12)
MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Without a Word, LLC and its officers, directors, employees,
and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use
of the Service or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other
reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California,
without regard to its conflict of laws principles.
13. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration
administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
Arbitration shall take place in California, and judgment on the award may be entered in any court of competent jurisdiction.
You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by updating the “Last Updated”
date and, where appropriate, providing notice through the Service or by email.
